- Termination by Indus-Tech Indus-Tech reserves the right to suspend, restrict, or terminate your access to the Services at its sole discretion if:

- Your continued use poses a threat to the security, integrity, or functionality of the Services.

- Termination by the User You may terminate your account or discontinue using the Services at any time by providing written notice to Indus-Tech. Any outstanding obligations, including unpaid fees, must be fulfilled prior to termination.
- Post-Termination Rights and Obligations Upon termination:

- 12.GOVERNING LAW AND DISPUTE RESOLUTION
- Governing Law These Terms and any disputes arising out of or in connection with them shall be governed by the laws of India, without regard to conflict of law principles. All Users agree to submit to the jurisdiction of Indian laws irrespective of their location.
- Dispute Resolution Process In the event of a dispute, parties are encouraged to resolve the issue amicably through negotiation. If negotiations fail:
- The matter will first be referred to mediation conducted by a mutually agreed mediator.
- If mediation does not resolve the dispute, it will be referred to arbitration under the Indian Arbitration and Conciliation Act, 1996. The arbitration proceedings will be conducted in English in Gurgaon, Haryana.
- Jurisdiction For matters that cannot be resolved through arbitration, the courts located in Gurgaon, Haryana, shall have exclusive jurisdiction.
- 13.FORCE MAJEURE
- Definition Indus-Tech shall not be held liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes).
- Acts of war or terrorism.
- Governmental actions, regulations, or sanctions.
- Cyber-attacks or significant technical failures.
- Pandemic or epidemic outbreaks.
- Impact of Force Majeure During a force majeure event:
- Indus-Tech’s obligations under these Terms will be suspended for the duration of the event.
- We will take reasonable steps to minimize the impact and resume normal operations as soon as possible.
- User Acknowledgment Users acknowledge that force majeure events may disrupt the availability of the Services. Indus-Tech is not obligated to provide refunds or compensation for disruptions caused by such events.
- 14.MODIFICATIONS TO TERMS
- Right to Modify Indus-Tech reserves the right to update, revise, or modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website or notifying Users through other communication channels.
