FEES AND PAYMENTS

4. Disputes: Payment-related disputes must be reported to Indus-Tech within 30 days of the transaction date. Failure to report within this timeframe may forfeit your right to resolution.
DISCLAIMERS
1. Services Provided "As-Is": The Services are offered on an "as-is" and "as-available" basis. Indus-Tech disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
2. No Guarantee of Availability: Indus-Tech does not guarantee uninterrupted or error-free access to the Services. Temporary interruptions may occur due to maintenance, technical issues, or external factors.
3. Limitation of Liability: To the fullest extent permitted by law, Indus-Tech shall not be held liable for indirect, incidental, special, or consequential damages arising from the use of the Services.
10.INDEMNIFICATION
1. User Responsibility for Indemnity You agree to indemnify, defend, and hold harmless Indus-Tech, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from:

3. Limitations on Indemnity Obligations Your indemnity obligations do not apply to claims resulting from Indus-Tech’s gross negligence or willful misconduct. Additionally, any indemnity must comply with the governing laws outlined in Clause 12.
11.TERMINATION
1. Termination by Indus-Tech Indus-Tech reserves the right to suspend, restrict, or terminate your access to the Services at its sole discretion if:
  1. You violate any provision of these Terms.
  2. You fail to comply with applicable laws or regulations.
  3. Your continued use poses a threat to the security, integrity, or functionality of the Services.
  4. Indus-Tech is required to do so by law or regulatory authority.
2. Termination by the User You may terminate your account or discontinue using the Services at any time by providing written notice to Indus-Tech. Any outstanding obligations, including unpaid fees, must be fulfilled prior to termination.
3. Post-Termination Rights and Obligations Upon termination:
  1. Your right to access and use the Services ceases immediately.
  2. Indus-Tech may retain certain data as required by law or as detailed in our Privacy Policy.
  3. Any provisions of these Terms intended to survive termination, including indemnification and limitation of liability, remain enforceable.
4. Refunds Upon Termination Refunds, if any, will be governed by the payment terms applicable at the time of the transaction. Generally, payments are non-refundable unless explicitly stated.
12.GOVERNING LAW AND DISPUTE RESOLUTION
1. Governing Law These Terms and any disputes arising out of or in connection with them shall be governed by the laws of India, without regard to conflict of law principles. All Users agree to submit to the jurisdiction of Indian laws irrespective of their location.
2. Dispute Resolution Process In the event of a dispute, parties are encouraged to resolve the issue amicably through negotiation. If negotiations fail:
  1. The matter will first be referred to mediation conducted by a mutually agreed mediator.
  2. If mediation does not resolve the dispute, it will be referred to arbitration under the Indian Arbitration and Conciliation Act, 1996. The arbitration proceedings will be conducted in English in Gurgaon, Haryana.
3. Jurisdiction For matters that cannot be resolved through arbitration, the courts located in Gurgaon, Haryana, shall have exclusive jurisdiction.
13.FORCE MAJEURE
1. Definition Indus-Tech shall not be held liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to:
  1. Natural disasters (earthquakes, floods, hurricanes).
  2. Acts of war or terrorism.
  3. Governmental actions, regulations, or sanctions.
  4. Cyber-attacks or significant technical failures.
  5. Pandemic or epidemic outbreaks.
2. Impact of Force Majeure During a force majeure event:
  1. Indus-Tech’s obligations under these Terms will be suspended for the duration of the event.
  2. We will take reasonable steps to minimize the impact and resume normal operations as soon as possible.
3. User Acknowledgment Users acknowledge that force majeure events may disrupt the availability of the Services. Indus-Tech is not obligated to provide refunds or compensation for disruptions caused by such events.
14.MODIFICATIONS TO TERMS
1. Right to Modify Indus-Tech reserves the right to update, revise, or modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website or notifying Users through other communication channels.
